Terms and Conditions for UCM Group of Companies Inc.

Introduction

The general Terms and Conditions of Sale detailed below govern the contractual relationship between the ‘User’ (hereafter also referred to as ‘You’ or the ‘Customer’) and UCM Group of Companies Inc. (hereafter also referred to as ‘We’ or the ‘Website’), belonging to the company UCM Group of Companies Inc. Both parties accept these Conditions unreservedly.  These General Conditions of Sale are the only conditions that are applicable and replace all other conditions, except in the case of express, written, prior dispensation.  We maintain that, by confirming your order, you have read and do unreservedly accept our general Conditions of Sale.  These Terms and Conditions of Sale are important to you and UCM Group of Company Inc. as they are used to protect your rights as a valued customer and our rights as a business.

Changes to the Terms of Service and the Website

UCM Group of Companies Inc. is a work in progress, and as such things may change, be added, or be taken away.  We reserve the right to update the Website and these Terms of Service from time to time, at our discretion and without any notice.  It is solely your responsibility to keep up-to-date with the latest Terms and Conditions by checking back regularly.  Your continued use of the Website following the publishing of updated Terms of Service will be taken to mean that you have read and agree to the changes.

Access to the Website

We work hard to ensure the Website is always up and available, but we can’t guarantee that the Website will not have downtime for any reason.  We reserve the right to close the Website for short periods of time for general maintenance but will attempt to keep this to a minimum.  We will not be liable if for any reason all or any part of the Website is unavailable at any time, for any length of time.

Parts of the Website require you to input a password to access certain features.  This is to be able to give you details relevant to your order whilst still keeping them private to you.  To do this, as part of our security procedures, we require you to register an account with UCM Group of Companies Inc. by entering your username/email address and choosing a secure password.  We highly recommend that you choose a strong password that is hard for others to guess, and you log out from your account at the end of every session.  There is a password reset procedure in case you forget your password.  You must treat your account log-in information as confidential, not disclosing it to any third party and only using Company in person.  If you think there may have been any breach of security then it is your responsibility to notify us immediately and if log-in is possible, to change your password.

It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete.  We reserve the right to disable any user account at our sole discretion, at any time for any or no reason, including if, in our opinion, you have failed to comply with any provision of these Terms of Service.

We do not guarantee that the Website or any content provided on the Website is error-free.  We manage your personal data according to our Privacy Policy.

Restrictions

You are specifically restricted from all of the following:

• publishing any Website material in any other media;
• selling, sublicensing and/or otherwise commercializing any Website material;
• publicly performing and/or showing any Website material;
• using this Website in any way that is or may be damaging to this Website;
• using this Website in any way that impacts user access to this Website;
• using this Website contrary to applicable laws and regulations, or in any way may cause harm to the Website, or to any person or business entity;
• engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Website;
• use of this Website to engage in any advertising or marketing.

Certain areas of this Website are restricted from being access by you and UCM Group of Companies Inc. may further restrict access by you to any areas of this Website, at any time, in absolute discretion.  Any user ID and password you may have for this Website are confidential and you must maintain confidentiality as well.

Product information

UCM Group of Companies Inc. takes great care when putting product information, descriptions, and images online but will not be held responsible for any mistakes or omissions to any information given.

Delivery

Your order will be delivered to the address you indicated when your order was placed.  The company does everything in its power to respect the deliveries indicated on the website.  We cannot, however, be held responsible for the consequences of a late delivery or the loss of a package caused by a third-party contracted to make delivery, or by you, or because of some unforeseen event or an Act of God.  In the event where you do not receive your package, an investigation will be conducted with the carrier and may take several days upon receipt of your claim.  During this period of investigation, no reimbursement, no refund, or re-delivery will take place.  Delivery duration/span may be delivered a minimum of one (1) or three (3) days.

DISCLAIMER: Exact delivery duration may still vary on the schedule of deliveries, location, and environmental factors such as typhoons, tsunami, floods, and etc.  You will be contacted by our Sales Team for the confirmation of delivery of your product.

Return and Refund

NO SOLICITED or IMMEDIATE refund will be honored after receiving the product or already scheduled for delivery.  If the purchased product is repairable, we can provide 1 Year (12 Months) Service Warranty and 3 Months Parts Warranty or product replacement.

• Unit/s should be physically brought to UCM After Sales Service located at 8 E. Rodriguez Jr. Ave. Bagumbayan, Quezon City 1110
• Maximum Repairs per unit will be 3 repairs in 1 Month (case: same problem or issues), otherwise, upon consummation of the max repair or decision of the mechanic, but not limited to, the unit shall be replaced.
• If for instance, the client is from Visayas and Mindanao, they will be referred to our branches with available After-Sales Service for immediate and accessible assistance.
• Refund (with a minimum of 20% deduction for depreciated price) will be, but not limited to, upon the company’s goodwill, if the product considered being non-repairable and/or factory defect with no other same product for replacement.

Cancellation

Cancellation of order/reservation within 24 Hours will be accepted.  However, cancellation of order/reservation beyond 24 Hours will not be honored and accepted.  Order/reservation is deemed to be accepted by the customer to proceed after 24 Hours mark.

Partial Payment, Downpayment, or Full Payment will not be refunded through cancellation due to loss of interest (no basis) or unwanted situation of the client.

Partial Payment, Downpayment, or Full Payment will be refunded through cancellation due Company’s current situation which includes product unavailability, product scarcity, up to, but not limited to, bankruptcy.

CREDIT / DEBIT CARD Installment

Orders made through installment shall be covered by the Terms and Conditions of the providing Bank (RCBC). Available only to qualified RCBC Credit / Debit Card Holders.

Intellectual Property Rights

All the content on the UCM Group of Companies Inc. website (illustrations, texts, names, brand names, images, and videos) is the property of UCM Group of Companies Inc.  Any partial or total reproduction of this content, by any means and on any support, is subject to prior and express authorization by UCM Group of Companies Inc.  All information, content, and files are protected by International/local law concerning intellectual ownership and copyright.  UCM Group of Companies Inc. cannot give you the right to copy, display or distribute content that you do not have the intellectual rights to.  All fraudulent use of this content that violates the rights held by a third party constitutes an offense of forgery, which is severely punished under the Intellectual Property Code.

UCM Group of Companies Inc. will not, under any circumstances, be held responsible if a user violates rights held by a third party through his activities on the site.

Limitation of liability

In no event shall UCM Group of Companies Inc., nor any of its officers, directors and employees, shall be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract.  UCM Group of Companies Inc., including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

Indemnification

You hereby indemnify to the fullest extent UCM Group of Companies Inc. from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

Waiver and Severability

Any failure of UCM Group of Companies Inc. to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.     The Terms of Service constitutes the entire agreement between you and UCM Group of Companies Inc., and governs your use of the service, superseding any prior agreements (including, but not limited to, any prior versions of the Terms of Service).  If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Assignment

The UCM Group of Companies Inc. is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification.  However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms constitute the entire agreement between UCM Group of Companies Inc. and you in relation to your use of this Website and supersede all prior agreements and understandings.

Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the Philippines, and you submit to the non-exclusive jurisdiction of the country and local courts located in ph for the resolution of any disputes.
